Terms of Use

These Terms of Use (“Terms”) govern your access to and use of ultrecai.com and related pages we operate (the “Site”), operated by Ultrec AI Inc, a Virginia corporation (“Ultrec AI,” “we,” “us”).

By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms are a website agreement. They are not legal advice and do not create an attorney–client relationship.

1. What the Site is

The Site provides information about Ultrec AI, our mission, and our products (including marketing pages and free software downloads such as SentinelForge™).

Product pages may say that details are drafts or that a feature is not live yet. Those labels control.

2. No professional advice

Content on the Site is for general information only.

  • It is not legal, financial, tax, or other professional advice.
  • It is not medical advice. Ultrec AI and the Site do not provide diagnosis, treatment, prescribing, or emergency services.
  • MedOffice AI (described on the Site and operated separately at medofficeai.com) is not a doctor, clinic, or licensed professional and is not a substitute for professional care. In an emergency, call 911 or go to the nearest emergency room.

You are responsible for decisions you make based on Site content or software you download.

3. Intellectual property

Unless we say otherwise:

  • The Site’s text, design, logos, and media are owned by Ultrec AI or used with permission.
  • Names and marks such as Ultrec™, Ultrec AI™, SentinelForge™, and related product names are trademarks of Ultrec AI (or claimed as such). “™” does not mean the mark is registered with the USPTO unless we expressly say so.
  • You may not copy, scrape, or reuse Site content for commercial purposes without our prior written permission, except for fair use or other rights that cannot be waived under law.

4. Software downloads (including SentinelForge)

Some software is offered as a free download under an open-source license (for SentinelForge, typically the MIT License included in the download package).

  • The license in the download (LICENSE file) controls your rights to that software.
  • Software is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • You bring your own model/API keys when a tool requires them. We do not need, and you should not send us, those keys to use the download.
  • You are responsible for how you use the software, including compliance with third-party terms (model providers, hosting, etc.) and applicable law.

If a LICENSE file and marketing text ever conflict, fix the conflict before relying on either; until then, do not assume broader rights than the LICENSE grants.

5. Acceptable use

You agree not to:

  • Use the Site in a way that breaks the law or infringes others’ rights
  • Attempt to disrupt, probe, or gain unauthorized access to the Site or our systems
  • Misrepresent that you are affiliated with Ultrec AI
  • Submit malware, spam, or abusive content through contact channels
  • Use Site content to train AI models in a way that violates these Terms or applicable law, except as allowed by an open-source license for code you lawfully obtained

6. Contact channels

Phone numbers, email addresses, and forms on the Site may be labeled as not yet open or not yet sending. Do not assume a message was received unless we confirm it. When channels are open, use them for legitimate inquiries only.

7. Third-party links and services

Links to other sites (including medofficeai.com) are for convenience. We are not responsible for third-party content, policies, or practices. Your use of third-party services is between you and them.

8. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULTREC AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT IS COMPLETE OR CURRENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULTREC AI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR DOWNLOADED SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER VIRGINIA OR OTHER APPLICABLE LAW.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent allowed.

10. Indemnity

To the extent permitted by law, you will defend and indemnify Ultrec AI against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or downloaded software, or your violation of these Terms or applicable law.

11. Privacy

Our Privacy Policy explains how we handle personal information. It is part of how we operate the Site; if there is a conflict about personal data practices, the Privacy Policy controls on that topic.

12. Changes

We may update these Terms by posting a new version on this page and changing the effective date. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Site.

13. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. Exclusive venue for disputes arising out of the Site or these Terms lies in the state or federal courts located in Virginia, unless applicable law requires otherwise. You consent to personal jurisdiction there.

14. Miscellaneous

  • If any provision is unenforceable, the rest remains in effect.
  • Our failure to enforce a provision is not a waiver.
  • These Terms are the entire agreement regarding the Site, and supersede prior website terms on the same subject.
  • Open-source licenses for specific software are separate and remain in force for that software.
